Common use of Service with the Employer Clause in Contracts

Service with the Employer. The Employer hereby employs Executive in an executive capacity during the Term initially with the title of Vice Chairman of the Board of Directors, Vice Chairman of the Management Committee and Chief Financial Officer and Treasurer of the Company, and Executive hereby accepts such employment and undertakes and agrees to serve in such capacities during the Term. In addition, the Company agrees to cause Executive to be elected as a member of the Board of Directors and Management Committee of the Company. In such capacities, Executive shall have such powers, perform such duties and fulfill such responsibilities typically associated with such positions in other publicly held companies.

The Employer hereby employs Executive in an executive capacity during the Term initially with the title of Executive Vice Chairman President of Manufacturing and Production of the Board of Directors, Vice Chairman of the Management Committee and Chief Financial Officer and Treasurer of the CompanySubsidiary, and Executive hereby accepts such employment and undertakes and agrees to serve in such capacities during the Term. In addition, the Company agrees to use its best efforts to cause Executive to be elected as a member of the Board Boards of Directors of both the Company and Management Committee of the CompanySubsidiary. In such capacities, Executive shall have such powers, perform such duties and fulfill such responsibilities typically associated with such positions in other publicly held companies.
