Services and Performance Standards. Service Provider shall perform the services set out in Schedule A (the “Services”) in accordance with the terms of this Agreement and in a professional, careful, diligent, and efficient manner to the satisfaction of Ryerson, within the timeframes specified in Schedule A, or as communicated by Ryerson.
Services and Performance Standards. Pursuant to the terms and conditions of this Agreement, Provider will use commercially reasonable efforts to provide to University the Services in accordance herewith and any applicable performance standards set forth on Exhibit B and in the applicable Services Addendum. Provider shall perform the Services in a good and workmanlike manner and (subject to Section 3.6 (Compliance with Laws)) in accordance with all Applicable Laws. University will use commercially reasonable efforts to perform its obligations under this Agreement.
Services and Performance Standards. 2.01 USA shall perform the Services provided for in Schedule B in accordance with performance standards set forth in Schedule B or incorporated by reference therein ("Performance Standards"). Whenever Client has not established a standard, USA agreed to follow generally accepted customer and standards accepted in the insurance industry in performing such services.
2.02 If at any time USA's performance of Services is not in compliance with the Performance Standards, USA shall use its best efforts to take necessary curative actions to bring its performance into compliance within thirty (30) days of Client giving USA written notice of USA's non-compliance.
2.03 When Client determines that either the Services or Performance Standards needs modification in response to any Federal or state law or regulation, it shall inform USA of the change in such law or regulation, and the parties shall seek to come to a mutually agreeable modification of this Agreement in response to same. Client shall be responsible for any increased costs associated with such modification. Such costs will be mutually agreed to, in writing, by the parties.
2.04 USA shall have the right, at any time, and from time to time, to alter and modify the Administration Functions and any systems, programs, procedures or facilities used or employed in performing its duties and obligations hereunder, provided that no such alteration or modification that materially adversely affects the Services Client receives under this Agreement will be implemented without USA first obtaining Client's consent, which shall not be unreasonably withheld. "Materially" means, without limitation, any departure or deviation from (a) the Performance Standards set forth in Schedule B or the standards set forth in this Agreement or (b) any applicable laws, rules and regulations.

M 1st Level Suspicious Activity Monitoring (▇▇▇) Alerts: • Initiate action on 100% of Suspicious Activity Monitoring Alerts within 30 calendar days of alert generation. M OFAC Real Time Alerts: • Initiate action on 100% of OFAC Real Time Alerts within 4 calendar days of alert generation. M Accounting, Settlement & Other Services • All services and support deemed reasonable as compared to similar financial services provided by an internal accounting department, including but not limited to daily posting of transactions, daily general ledger production, timely account reconciliation within an acceptable materiality factor as determined by Bank, and timely preparation of monthly financial reports. Any regulatory or financial reporting as appropriate. • All client settlement and related services, as well as budgeting, general ledger support and other accounting assistance. Services and Performance Standards. Brokerage / Broker hereby agrees to deliver and perform Services within accepted Service Scopes and in a thorough and good workmanlike manner; in compliance with applicable industry standards and guidelines; and in compliance with all applicable federal, state and local laws or governing regulations.

Services and Performance Standards. The Parties shall perform an annual review of the Services and the Performance Standards to determine whether:
(a) Administrator is meeting its obligation to improve its level of service throughout the Term; and (b) the specific Performance Standards required of Administrator should be more favorable to Customer than those set forth in Performance Schedule. Upon completion of this review, Administrator shall propose reasonable and appropriate improvements to the Performance Standards for Customer’s review and approval. Once agreed to, these revised Performance Standards shall be included in an amended and restated Performance Schedule, provided for by the Parties pursuant to a signed amendment to this Agreement. Subject to obligations of confidentiality under other agreements to which it is a Party, each Party shall disclose and make available to the other any relevant data and materials it may have that may facilitate this effort. The Parties shall perform an annual review of the fees under the Agreement, including a review of Administrator’s efforts to fulfill its obligation to continually investigate and implement methods to reduce Customer’s consumption of chargeable resources and Customer’s Pass-Through-Expenses. As part of these periodic reviews, Administrator shall provide: (i) a description of the success to date in regard to such reductions, including an analysis of any reduction in actual fees and Pass-Through Expenses for the period in question and for prior periods; and (ii) a description and analysis of additional targets for savings.
