Services as Principal Underwriter Clause Samples

The 'Services as Principal Underwriter' clause defines the responsibilities and authority of a party acting as the main distributor or marketer of securities, such as mutual fund shares, on behalf of an issuer. This clause typically outlines the scope of underwriting services provided, including the solicitation of sales, processing of orders, and compliance with regulatory requirements. By clearly establishing the underwriter's role and obligations, the clause ensures that both parties understand the terms of distribution and helps prevent disputes regarding the handling and sale of securities.
