Common use of Services Recipient Clause in Contracts

Services Recipient. Notwithstanding anything to the contrary herein, unless otherwise mutually agreed in writing, (i) only Organon and its Affiliates shall be entitled to have access to the Services and Expense Activities under this Agreement, (ii) Organon shall not, directly or indirectly, resell or permit the use of any of the Services or Expense Activities to or by any other person or entity, and (iii) in no event shall Organon, its Affiliates or their respective employees, third-party technology consultants or other personnel be entitled to modify any Merck System or the Services or Expense Activities.
