Set Off; No Mitigation. The Company’s obligation to pay Executive the amounts provided hereunder pursuant to Section 5, as applicable, following the Employment Term shall not be subject to set-off for amounts owed by Executive to any Company Group member. Executive shall not be required to mitigate the amount of any payment provided for pursuant to this Agreement by seeking other employment, and such payments owed to Executive by the Company Group shall not be reduced by any compensation or benefits received from any subsequent employer, self-employment or other endeavor.

Executive shall not be required to mitigate the amount of any payment provided for pursuant to this Agreement by seeking other employment, and such payments owed to Executive by the Company Group shall not be reduced by any compensation or benefits received from any subsequent employer, self-employment employer or other endeavor. Any amounts due under Section 5 of this Agreement are considered reasonable by the Company and are not in the nature of a penalty.
