Common use of Settlement Representations and Warranties Clause in Contracts

Settlement Representations and Warranties. At Settlement, each of the representations and warranties of each Seller contained in this Agreement is deemed to have been made again on and as at the Settlement and shall be true and correct in all material respects as at the Settlement. Each Seller shall indemnify and hold harmless its respective Purchaser from and against all loss, damages, costs or expenses (including reasonable attorney's fee) resulting from or in any way related to any breach thereof.
