A Share Class clause defines the different categories of shares that a company can issue, each with its own rights and privileges. This clause typically outlines distinctions such as voting rights, dividend entitlements, or liquidation preferences among classes like common shares and preferred shares. By clearly specifying these differences, the clause ensures that shareholders understand their respective powers and benefits, thereby preventing disputes and providing a transparent framework for corporate governance.
