Common use of Share Exchange Transaction Clause in Contracts

Share Exchange Transaction. The parties acknowledge that immediately prior to the consummation of the transactions contemplated by this Agreement, the Company will issue shares of its Common Stock to Rise Elite International Limited, a company organized in the British Virgin Islands (“Elite”), pursuant to that certain Share Exchange Agreement dated as of the date hereof by and among the Company and Elite (the “Share Exchange Agreement”), and upon the consummation of the transactions contemplated by the Share Exchange Agreement, World Through Limited, a company organized in the British Virgin Islands and a direct wholly-owned subsidiary of Elite immediately prior to the consummation of the transactions contemplated by the Share Exchange Agreement, will become a wholly-owned subsidiary of the Company (the “Share Exchange Transaction”).

The parties acknowledge that immediately prior to the consummation of the transactions contemplated by this Agreement, the Company will issue shares of its Common Stock to Rise Elite International Winner State Investments Limited, a company organized in the British Virgin Islands (“EliteWinner State”), pursuant to that certain Share Exchange Agreement dated as of the date hereof by and among the Company and Elite Winner State (the “Share Exchange Agreement”), and upon the consummation of the transactions contemplated by the Share Exchange Agreement, World Through Faith Winner Investments Limited, a company organized in the British Virgin Islands and a direct wholly-owned subsidiary of Elite Winner State immediately prior to the consummation of the transactions contemplated by the Share Exchange Agreement, will become a wholly-owned subsidiary of the Company (the “Share Exchange Transaction”).
