Common use of Share Termination Alternative Clause in Contracts

Share Termination Alternative. If applicable, Dealer shall deliver to Counterparty the Share Termination Delivery Property on, or within a commercially reasonable period of time after, the date when the relevant Payment Obligation would otherwise be due pursuant to Section 12.7 or 12.9 of the Equity Definitions or Section 6(d)(ii) and 6(e) of the Agreement, as applicable, in satisfaction of such Payment Obligation in the manner reasonably requested by Counterparty free of payment.

Share Termination Alternative. If applicable, Dealer Company shall deliver to Counterparty Dealer the Share Termination Delivery Property on, or within a commercially reasonable period of time after, on the date when (the relevant “Share Termination Payment Date”) on which the Payment Obligation would otherwise be due pursuant to Section 12.7 or Section 12.9 of the Equity Definitions or Section 6(d)(ii) and 6(e) of the Agreement, as applicable, subject to Section 9(k)(i) below, in satisfaction satisfaction, subject to Section 9(k)(ii) below, of such the relevant Payment Obligation Obligation, in the manner reasonably requested by Counterparty Dealer free of payment.

If applicablethe Share Termination Alternative is applicable in respect of any Payment Obligation, Dealer shall deliver to Counterparty the Share Termination Delivery Property on, or within a commercially reasonable period of time after, the date when the relevant Payment Obligation would otherwise be due pursuant to Section 12.7 or 12.9 of the Equity Definitions or Section 6(d)(ii) and 6(e) of the Agreement, as applicableapplicable (the “Share Termination Payment Date”), in satisfaction of such the Payment Obligation in the manner reasonably requested by Counterparty free of payment.

If applicable, Dealer shall deliver to Counterparty the Share Termination Delivery Property on, or within a commercially reasonable period of time after, the date when the relevant Payment Obligation would otherwise be due pursuant to Section 12.7 or 12.9 of the Equity Definitions or Section 6(d)(ii) and 6(e) of the Master Agreement, as applicable, in satisfaction of such Payment Obligation in the manner reasonably requested by Counterparty free of payment.

Share Termination Alternative. If applicable, Dealer shall deliver to Counterparty the Share Termination Delivery Property on, or within a as promptly as commercially reasonable period of time afterreasonably practicable thereafter, the date when the relevant Payment Obligation would otherwise be due pursuant to Section 12.7 or 12.9 of the Equity Definitions or Section 6(d)(ii) and 6(e) of the Agreement, as applicable, in satisfaction of such Payment Obligation in the manner reasonably requested by Counterparty free of payment.

If applicable, Dealer shall deliver to Counterparty the Share Termination Delivery Property on, or within a commercially reasonable period of time after, the date when the relevant Payment Obligation would otherwise be due pursuant to Section Sections 12.7 or 12.9 of the Equity Definitions or Section 6(d)(ii) and 6(e) of the Agreement, as applicable, in satisfaction of such Payment Obligation in the manner reasonably requested by Counterparty free of payment.

Share Termination Alternative. If applicableApplicable, if elected as per above, and means that Dealer shall deliver to Counterparty the Share Termination Delivery Property on, or within a commercially reasonable period of time after, on the date when the relevant Payment Obligation would otherwise be due pursuant to “Consequences of Merger Events” above or Section 12.7 or 12.9 of the Equity Definitions or Section 6(d)(ii) and 6(e) of the Agreement, as applicableapplicable (the “Share Termination Payment Date”), in satisfaction of such the Payment Obligation in the manner reasonably requested by Counterparty free of payment.
