Share Transfer Restrictions. The Pledgor shall not sell, assign, transfer or permit to be sold, assigned or transferred any of its interests in the Companies, whether directly or indirectly, except pursuant to the terms of this Agreement and the Credit Agreement. Except as set forth in Section 7.09 of the Credit Agreement, nothing in this Agreement or the other Financing Documents is intended to impose a restriction on the ability of the holders of the Capital Stock of the Pledgor to sell, assign or transfer such Capital Stock of the Pledgor.
