Common use of Shareholder Authorization Clause in Contracts

Shareholder Authorization. Seller shall have obtained from a majority of its shareholders, including, without limitation, Timothy E. Evon and Thomas J. ▇▇▇▇, ▇▇▇ ▇▇▇ivere▇ ▇▇ ▇▇▇▇▇▇▇, a consent for the sale of the Assets in accordance with this Agreement as set forth in Schedule 8.11.
