Common use of Sharing of Records Clause in Contracts

Sharing of Records. The Parties shall provide each other such records and information only as necessary or appropriate to carry out their obligations under law, this Agreement or any other Distribution Document, or for the purposes of administering their respective employee benefit plans and policies. Records and data described in Section 2.04(b) available to ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, which are reasonably requested by Discover shall be provided to Discover as soon as reasonably practicable upon such request; provided ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ shall use its reasonable best efforts to provide to Discover before the Distribution Date the records and data available to ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ and listed on Schedule 2.04(c) hereof; and provided further that Discover shall reimburse ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ for the reasonable costs and expenses associated with the provision of such records and data (including a reasonable allocable share of any compensation and overhead expense of personnel deployed to assist in the provision of such records and data, except to the extent that such cost is insignificant). Subject to applicable law, all information and records regarding employment and personnel matters of Discover Business Employees and Former Discover Employees shall be accessed, retained, held, used, copied and transmitted after the Distribution Date by Discover in accordance with all laws and policies relating to the collection, storage, retention, use, transmittal, disclosure and destruction of such records.
