Common use of Shelf Notice Clause in Contracts

Shelf Notice. Promptly upon receipt of any request by a Sponsor to file a Shelf Registration Statement or any request by a Sponsor to increase the number of its Registrable Securities registered on such Shelf Registration Statement pursuant to Section 2.02(a) (but in no event more than two (2) Business Days thereafter), the Company shall deliver a written notice (a “Shelf Notice”) of any such request to any other Holders specifying the Sponsor Shelf Registration Amount and the Company shall include in such Shelf Registration Statement the number of Registrable Securities with respect to which the Company has received written requests for inclusion therein within five (5) calendar days after the date that the Shelf Notice has been delivered. If any Holder does not deliver a notice to the Company within five (5) calendar days after the date that the Shelf Notice has been delivered to such Holder, such Holder shall be deemed to have irrevocably waived any and all right under this Section 2.02 with respect to such Registration (but not with respect to future Registrations in accordance with this Section 2.02).
