Common use of Signatories’ Representations and Warranties Clause in Contracts

Signatories’ Representations and Warranties. Each person executing this Agreement on behalf of any other person does hereby personally represent and warrant that he or she has the authority to execute this Agreement on behalf of, and fully bind, each principal whom such individual represents or purports to represent and that no right or claim compromised pursuant to this Agreement has been assigned or hypothecated to any third party. Further, each person executing this Agreement on behalf of any other person does hereby personally represent and warrant that he or she indemnifies the Defendant referenced in Plaintiff's Complaint and First Amended Complaint against all representations and warranties herein.
