Common use of Simultaneous Actions Clause in Contracts

Simultaneous Actions. The Parties acknowledge and declare that, for the purposes of this Agreement, none of the obligations provided for in Section 10.3 below, to be complied by the Parties and by the Companies on the Business Closing Date, shall be deemed as perfect and fulfilled unless all the other obligations referred to in Section 10.3 shall have been fully, properly and simultaneously complied with on the Business Closing Date.
