Common use of Software and Services Clause in Contracts

Software and Services. DI shall provide Customer the Services, pursuant to the terms and conditions contained in this Agreement. DI’s performance is dependent on Customer carrying out its obligations as set forth in this Agreement and Customer acknowledges that the Maintenance and Support Services Fees take into account these obligations. DI shall not be responsible for any delay in the performance of, or an inability to perform, any of its obligations contained in this Agreement that result from any failure or delay by Customer in the performance of its obligations contained in this Agreement.

DI’s performance is dependent on Customer carrying out its obligations as set forth in this Agreement Master Agreement, and the applicable PS Agreement, and Customer acknowledges that the Maintenance and Support Professional Services Fees take into account these obligations. DI shall not be responsible for any delay in the performance of, or an inability to perform, any of its obligations contained in this Master Agreement that result from any failure or delay by Customer in the performance of its obligations contained in this Master Agreement.
