Common use of Sole IP Clause in Contracts

Sole IP. The Party that solely owns the applicable Intellectual Property described in Section 11.1 (Intellectual Property Ownership) will, at its sole discretion and expense, have the sole right (but not the obligation) to Prosecute and Maintain all Patent Rights included in such Intellectual Property worldwide (each a “Sole Prosecuted Patent”), save as further described in this Section 11.2 (Patent Prosecution).

Sole IP. The Party that solely owns the applicable Intellectual Property described in Section 11.1 12.1 (Intellectual Property Definitions and Ownership) willshall, at its sole discretion and expense, have the sole right (but not the obligation) to Prosecute and Maintain all Patent Rights included in Patents that describe, cover or claim such owned Intellectual Property worldwide (each a “Sole Prosecuted Patent”), save ) as further described in this Section 11.2 12.3 (Patent Prosecution).
