Common use of Sole Ownership Clause in Contracts

Sole Ownership. Allelix shall be the sole owner of all intellectual property conceived and reduced to practice or otherwise developed solely by its employees and agents, and all patent applications and patents claiming such intellectual property; provided, however, that intellectual property relating to improvements to Aurora Technology will be assigned by Allelix to Aurora. Aurora shall be the sole owner of any intellectual property conceived and reduced to practice or otherwise developed solely by its employees and agents and all patent applications and patents claiming such intellectual property; provided, however, that intellectual property derived from Compounds provided by Allelix, including but not limited to information contained in the quarterly reports prepared by the CC provided for in Section 3.1.3, and relating to the use of Agreement Compounds and Products will be assigned by Aurora to Allelix.
