Solicitations as Purchasing Agent; Purchases as Principal. If agreed upon between the Purchasing Agent and the Company, the Purchasing Agent, acting solely as the agent for the Company and not as principal, will solicit offers for the purchase of Notes by retail investors. However, absent an agreement between the Purchasing Agent and the Company that the Purchasing Agent shall be acting solely as an agent for the Company, the Purchasing Agent shall be deemed to be acting as principal in connection with any offering of Notes by the Company through the Purchasing Agent. Any such purchase of Notes by the Purchasing Agent as principal shall be made pursuant to a Terms Agreement in accordance with Section 3(b) hereof.
