Common use of Solvency Assurances Clause in Contracts

Solvency Assurances. On the Closing Date, Agents and Lenders shall have received a Financial Condition Certificate dated the Closing Date, substantially in the form of EXHIBIT XIV annexed hereto and with appropriate attachments and in any event in form and substance reasonably satisfactory to Agents demonstrating that, after giving effect to the consummation of the Recapitalization, the related financings and the other transactions contemplated by the Loan Documents and the Related Agreements, Company will be solvent.

Solvency Assurances. On the Closing Date, Agents Administrative Agent and Lenders shall have received a Financial Condition Certificate executed by the Chief Financial Officer of Company dated the Closing Date, substantially in the form of EXHIBIT XIV Exhibit XIII annexed hereto and with appropriate attachments and attachments, in any event in form and substance reasonably satisfactory to Agents each case demonstrating that, after giving effect to the consummation of the Recapitalization, the related financings and the other transactions contemplated by the Loan Documents and the Related Agreements, Company will be solventSolvent.

Solvency Assurances. On the Closing Date, Agents and Lenders Company shall have received deliver to Administrative Agent (with sufficient copies for each Lender) a Financial Condition Certificate dated the Closing Date, substantially in the form of EXHIBIT Exhibit XIV annexed hereto and with appropriate attachments and in any event in form and substance reasonably satisfactory to Agents attachments, demonstrating that, after giving effect to the consummation of the RecapitalizationAcquisition and the Merger, the related financings and the other transactions contemplated by the Loan Documents and the Related AgreementsMerger Agreement, Company will be solventSolvent.

Solvency Assurances.
