Common use of Solvency Certificate Clause in Contracts

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documentsthis Amendment, in substantially the form of Exhibit 4.1(f4.1(g) heretoto the Credit Agreement.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f4.1(d) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared executed by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower Company as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f) hereto.

The Administrative Agent shall have received an officer’s certificate for each Borrower prepared by the chief financial officer or other Authorized a Responsible Officer approved by the Administrative Agent of the Borrower Company as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiariessuch Borrower, in each case after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit Schedule 4.1(f) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by from the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the each Credit Parties and their Subsidiaries, Party after giving effect to the Transactions and the initial current borrowings under the Credit Documents, the funding of the Tranche B Term Loan and the other transactions contemplated hereby, in substantially the form of Exhibit 4.1(fSchedule 4.1(h) hereto.

The Administrative Agent shall have received an officer’s certificate for the Obligors (taken as a whole) prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their SubsidiariesObligors (taken as a whole), in each case after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f) heretothis Agreement.

The Administrative Agent shall have received an officer’s 's certificate for each Credit Party and Coutts prepared by the chief financial executive vice president or higher officer or other Authorized Officer approved by the Administrative Agent of the Borrower each such Person as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiarieseach such Person, in each case after giving effect to the Transactions Acquisition and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(fSchedule 4.1(j) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower BorrowerBorrowers as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(fSchedule 4.1(h) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate Officers' Certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Borrower, individually, and the Loan Parties and their SubsidiariesSubsidiaries taken as a whole, after giving effect to the Transactions Dividend Transaction and the initial borrowings under the Credit Loan Documents, in substantially the form of Exhibit 4.1(f) XIII hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s 's certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Borrower and the Credit Parties and their Subsidiaries, taken as a whole, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(fSchedule 4.1(h) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer reasonably approved by the Administrative Agent of the Borrower Company as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f4.1(g) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Parent Borrower as to the financial condition, solvency and related matters of the Credit Parties each Borrower and their its Subsidiaries, in each case after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f) 4.1-3 hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties Borrower and their its Subsidiaries, after giving effect to the Transactions Acquisition and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(fSchedule 4.1(h) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s 's certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the each Credit Parties and their SubsidiariesParty, in each case after giving effect to the Transactions Spin-off and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f) Schedule 4.1-2 hereto.

The Administrative Agent shall have received an officer’s 's certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(fSchedule 4.1(i) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower Company as to the financial condition, solvency and related matters of the Credit Parties and their Restricted Subsidiaries, after giving effect to the Transactions Acquisitions, the initial extensions of credit under the First Lien Credit Agreement and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(fSchedule 4.1(i) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s 's certificate prepared by the chief financial officer or other Authorized Officer reasonably approved by the Administrative Agent of the Borrower Company as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f4.1(g) hereto.

The Administrative Agent shall have received an officer’s certificate for the Credit Parties prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Borrower and of the Credit Parties and their Subsidiariestaken as a whole, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(fSchedule 4.1(e) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Responsible Officer approved by the Administrative Agent of the Borrower Borrowers as to the financial condition, solvency and related matters of the Credit Parties and their Restricted Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f4.1(g) hereto.

Solvency Certificate. The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their SubsidiariesParties, in each case after giving effect to the Transactions IPO and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f) Schedule 4.1-2 hereto.

The Administrative Agent shall have received an officer’s certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions Initial Public Offering and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(f4.1(h) hereto.

Solvency Certificate. The Administrative Agent (or its counsel) shall have received an officer’s a certificate prepared by the chief financial officer or other Authorized Officer approved by the Administrative Agent of the Borrower as to the financial condition, solvency and related matters of the Credit Parties and their Subsidiaries, after giving effect to the Transactions and the initial borrowings under the Credit Documents, in substantially the form of Exhibit 4.1(fP to the Existing Credit Agreement from the chief financial officer (or other officer with reasonably equivalent responsibilities) heretoof the Borrower dated as of the Amendment No. 4 Effective Date and certifying as to the matters set forth therein.
