Common use of Sophistication and Knowledge Clause in Contracts

Sophistication and Knowledge. Each Purchaser and/or its representatives will have such knowledge and experience in financial and business matters that such Purchaser can represent himself/herself/itself and will be capable of evaluating the merits and risks of the purchase of the Shares. Each Purchaser will be instructed not to rely on the Company with respect to the tax and other economic considerations of an investment in the Shares, and each Purchaser will be instructed to rely on the advice of, or to consult with, only the Purchaser's own advisor(s). The Purchasers shall be required to represent that he/she/it has not been organized for the purpose of acquiring the Shares in a signed Subscription Agreement.
