Specific Assets. If some asset will not be sold to the Buyer in this agreement then select the “Specific…” checkbox. Once done, list every asset of the Business Entity that shall be sold to the Buyer in this agreement on the “Included Assets” line then document all the assets of the Business Entity that will not be included in this agreement and therefore not be sold to the Buyer on the “Excluded Assets” line.
