Common use of Specific Authority and Responsibility Clause in Contracts

Specific Authority and Responsibility. Not in limitation of the authority and responsibility of the position as described in section 2.1, Consultant shall perform any special duties assigned or delegated to Consultant by the Chief Executive Officer (“CEO”) and Chief Financial Officer (“CFO”) and, unless otherwise directed by the CEO, shall: (a) Report directly to the CEO and will keep the CEO informed of all matters concerning the Services as requested by the CEO from time to time; (b) Support fundraising processes through introductions to broker dealers, institutional investors, and family officers, and conducting key diligence analyses, and partnering with legal on deal execution; (c) Partner with company leadership to drive complex, cross-functional strategic initiatives that impact all aspects of the business and organization; (d) Execute merger and acquisition and strategic investment processes from end-to-end, including sourcing opportunities, conducting financial analysis, structuring and negotiating transactions, due diligence, and integrating targeted businesses/joint ventures; (e) Manage valuation analyses; determine appropriate valuation methodologies; and building and reviewing financial models built by team members; (f) Identify opportunities to leverage the strengths of the Company investor base to add strategic value to the Company; (g) Build strategic relationships with key stakeholders in the tech, cannabis and finance ecosystems, including investors, large corporates, and other startups, to stay on top of industry trends and the fintech competitive landscape; (h) Collect and report information on all competitive activity, business opportunities, voice of customer, sales trends and results within the assigned market providing input during monthly business review; (i) Provide insightful analysis on strategic plans, business development projects, competitive dynamics and future market development; (j) Monitor targeted domestic and international market developments to keep the Company alive to near and longer term opportunities; (k) Travel, as necessary to attend exhibitions/meetings abroad to represent the Company; and (l) Work with finance and operations teams to conduct analysis and create deliverables for board meetings and key investor updates.
