Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b), 4.3(a), 4.6, 4.9(a)-(c), Article V or Article VI hereof; or

Any Credit Party fails to (i) perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b), subsection 4.3(a), 4.6, 4.9(a)-(c)subsection 4.4(a) (in respect of Holdings or the Borrower) or Section 4.10, Article V or Article VI hereofor (ii) deliver any of the financial statements, certificates and other information required to be delivered pursuant to Section 4.1 or subsection 4.2(a) or 4.2(b) within five (5) Business Days following the stated delivery date therefor; or

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.15.1, 4.2(b5.2(b), 4.3(a5.3(a), 4.65.6, 4.9(a)-(c5.9(a)-(c), Article V VI or Article VI hereofVII hereof (subject to Section 7.3) or any Fee Letter; or

Specific Defaults. Any Credit Party fails to (i) perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b), subsection 4.3(a), 4.6subsection 4.4(a) (in respect of Holdings or the Borrower), 4.9(a)-(c)Section 4.10 or Section 4.17, Article V or Article VI hereofor (ii) deliver any of the financial statements, certificates and other information required to be delivered pursuant to Section 4.1 or subsection 4.2(a) or 4.2(b) within five (5) Business Days following the stated delivery date therefor; or

(i) Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(bsubsection 4.3(a) or 9.10(d), 4.3(a), Section 4.6, 4.9(a)-(c)4.9, 4.10 or 4.11 or Article V or Article VI hereofVI; or (ii) Any Credit Party fails to perform or observe any term, covenant or agreement contained in Section 4.1 or 4.2 and such failure shall continue unremedied for a period of five (5) days; or

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections Section 1.8(e), 4.1, 4.2(a), 4.2(b), 4.2(d), 4.3(a), 4.6, 4.9(a)-(c)4.9, 4.10, 4.11, 4.15 or 9.10(d) or Article V or Article VI hereof; oror the Fee Letter ;

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b4.3(a) or 9.10(d), 4.3(a)4.9, 4.64.10, 4.9(a)-(c), 4.11 or 4.15 or Article V or Article VI hereof; orVI; 2.11. Addition of New Section 7.1(k) (Asset Dispositions). A new Section 7.1(k) is added to the Agreement as follows:

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1subsection 1.8(e), 4.2(a), 4.2(b), 4.2(d), 4.3(a) or 9.10(d), Section 4.1, 4.6, 4.9(a)-(c)4.9, 4.10 or 4.11 or Article V or Article VI hereof; orthe Fee Letter;

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(b), 4.3(a), 4.6, 4.9(a)-(c)Article IV, Article V or Article VI hereof; or

Specific Defaults. Any Credit Party fails to perform or observe any term, covenant or agreement contained in any of Sections 4.1, 4.2(a), 4.2(b), 4.3(a), 4.6, 4.9(a)-(c4.9, 4.10, 4.14 or 9.10(d), Article V or Article VI hereofhereof or the Fee Letter; or
