Stage 2 Assistance Sample Clauses

Stage 2 Assistance. Subject to the provisions of this Section, ▇▇▇▇▇▇▇▇▇ agrees that in the event that the City participates in land assembly assistance in regard to the Commercial Parcels which involves the acquisition of title to the Commercial Parcels, ▇▇▇▇▇▇▇▇▇ agrees to pay the City, in consideration for the conveyance of the commercial Parcels and upon presentment of good and marketable title, an amount to be hereafter agreed to by Developer and City. In the event that the actual cost of acquisition incurred by the City of Clearwater, including attorneys’ fees and costs exceeds the upset amount agreed to as Developer’s contribution, Developer, as additional consideration, shall execute the recapture agreement which provides for twelve (12) annual payments of additional consideration, the first and second payments to be made on the first and second anniversary of this Agreement which occur after January 1, 2003, and the third through twelfth payment on each anniversary thereafter. The first and second payments shall be in an amount equal to five percent (5%) and the third through twelfth payments on each anniversary thereafter. The first and second payments and the third through twelfth payments in an amount equal to nine percent (9%) of the difference between the cash consideration paid by Developer pursuant to this paragraph and the actual cost of acquisition incurred by the City of Clearwater, including attorneys’ fees and costs, less the amount of real estate taxes paid in each year by the Project to the City of Clearwater in excess of the ad valorem taxes paid by the owners of the Project Site in the last year immediately preceding the Effective Date of this Agreement, including real estate taxes paid to the City of Clearwater by purchasers of real estate products developed on the Project Site. (Annual Additional consideration payment = 5% (9%) of Excess Land Acquisition Costs less Annual Ad Valorem Taxes paid to City by Project in excess of ad valorem taxes paid to City in year before the Effective Date of this Agreement).

  • Peer Assistance and Review (PAR) Consulting Teachers (CT) will be assigned to all new teachers with no prior teaching experience and tenured teachers rated ineffective on the qualitative measures at the end of the previous school year and recommended by the PAR Panel. Evaluations for Probationary and Ineffective Teachers:

  • Technical Assistance DFPS may provide informal support, guidance, clarification, and other forms of technical assistance via phone, email, and virtual meeting to resolve Grant or performance compliance issues. Grantee will document all such instances of technical assistance by DFPS in writing, including any implementation work.

  • Turnover Assistance Grantee will provide any assistance and actions reasonably necessary to enable System Agency or its designee to effectively close out the Grant Agreement and transfer the performance and obligations of the Grant Agreement to another Grantee or to System Agency if necessary. Grantee agrees that this obligation survives the termination, regardless of whether for cause or convenience, or the expiration of the Grant Agreement and remains in effect until completed to the satisfaction of System Agency.

  • Audit Assistance Each of the Parties and their respective Subsidiaries are or may be subject to regulation and audit by a Governmental Authority (including a Taxing Authority), standards organizations, customers or other parties to contracts with such Parties or their respective Subsidiaries under applicable Law, standards or contract provisions. If a Governmental Authority, standards organization, customer or other party to a contract with a Party or its Subsidiary exercises its right to examine or audit such Party’s or its Subsidiary’s books, records, documents or accounting practices and procedures pursuant to such applicable Law, standards or contract provisions, and such examination or audit relates to the Services, then the other Party shall provide, at the sole cost and expense of the requesting Party, all assistance reasonably requested by the Party that is subject to the examination or audit in responding to such examination or audits or requests for Information, to the extent that such assistance or Information is within the reasonable control of the cooperating Party and is related to the Services.

  • Regulatory Assistance WuXi Biologics will provide assistance to Licensee, and any sublicensee, in respect of Licensee’s or such sublicensee’s regulatory filing activities for the Client Product and/or Drug Product, at Licensee’s or such sublicensee’s reasonable cost and expense on [***] rate.
