During the Exclusivity Period, except with the prior written consent of Apax, the Company must not amend or waive the terms of any standstill agreement or arrangement between the Company and any person other than a member of the Apax Group, other than in circumstances where ▇▇▇▇ has failed to provide a Counter Proposal during a Matching Period or the Board determines that the terms and conditions of that Counter Proposal taken as a whole are less favourable to Shareholders than the relevant Competing Proposal.
