Notwithstanding the foregoing, Owner may terminate this Agreement by providing written notice of same to Broker which termination shall be effective immediately if Owner is giving Broker notice of such termination in connection with Broker’s gross negligence, willful misconduct, fraud, or breach of this Agreement.
