State and Local Filings. Following execution of this Transaction, the appropriate Entergy Operating Company(ies) may submit such Transaction to the state or local regulatory commission(s) having jurisdiction over the retail operations of the Entergy Operating Company(ies) participating in the purchase together with an application for approval of such Transaction, or request rate recovery of the costs associated with its participation in this Transaction based on a finding that such participation is prudent.
