Common use of State of Residence Clause in Contracts

State of Residence. The Subscriber is a bona fide resident of the state set forth in his address on Page 9 herein. The Subscriber agrees that if the Subscriber's principal residence changes prior to the Company's acceptance of the Subscriber's subscription for the Shares, the Subscriber will promptly notify the Company of such changes and that, if the changes is to a state in which offers and/or sales of the Shares are prohibited by applicable law, any offer to sell any Shares to the Subscriber prior to notification of the change shall be deemed retracted and the Subscriber shall no longer be entitled to purchase the Shares pursuant to such offer.
