Common use of Statements and Payments Clause in Contracts

Statements and Payments. In connection with fees payable to Gatherer under Article 7 of this Agreement, Gatherer shall prepare and submit to Shipper each month a statement showing for the prior month (i) the volume of Shipper's Gas received at the Receipt Points, (ii) Shipper's Field Fuel, and (iii) the volume of Shipper's Gas delivered to the Delivery Points. Shipper shall provide Gatherer, within thirty (30) days after the end of each month, a statement of the gathering fees due for such month. Shipper's statement shall set forth (i) the volumes of Shipper's Gas for which payments have been received; (ii) an allocation of such Shipper's Gas among the three gathering fee categories established by Sections 7.2, 7.3 and 7.4, respectively; (iii) an itemization of the Gross Sale Price or Prices received for the Shipper's Gas in each category; and (iv) a calculation of the gathering fees for such Shipper's Gas. Gatherer shall have the right to inspect Shipper's books and records relating to such Shipper's Gas for purposes of verifying the accuracy of Shipper's statement. Gatherer shall advise Shipper within 30 days of Gatherer's receipt of Shipper's statement if Gatherer believes Shipper's statement to be inaccurate in any respect. If Gatherer does not so advise Shipper, Shipper's statement shall be deemed to be correct. The gathering fee shall be due and payable upon Gatherer's receipt of Shipper's statement. Each of Gatherer and Shipper shall preserve its records relating to any statement delivered pursuant to this Section 8.1 for a period of at least three (3) years after such statement is delivered.

Shipper's statement shall set forth (i) the volumes of Shipper's Gas for which payments have been received; (ii) an allocation of such Shipper's Gas among the three gathering fee categories established by Sections 7.2, 7.3 and 7.4, respectively; (iii) an itemization of the Gross Sale Price or Prices price received for the Shipper's Gas in each category; and (iv) a calculation of the gathering fees for such Shipper's Gas. Gatherer shall have calculate the right amount due Gatherer with respect to inspect Shipper's books and records relating to such the Shipper's Gas for purposes of verifying the accuracy of Shipper's statement. Gatherer shall advise Shipper within 30 days of Gatherer's receipt of Shipper's statement if Gatherer believes Shipper's which statements have been received and submit a statement to be inaccurate in any respect. If Gatherer does not so advise Shipper, Shipper's statement shall be deemed to be correct. The gathering fee shall be due and payable upon within ten (10) days after Shipper receives Gatherer's statement. In connection with fees payable to Gatherer under Section 7.4, Shipper shall submit to Gatherer the statements of the Third Party Gathering System with respect to its calculation of fees owed to it by Shipper on a monthly basis (or such other periodic basis as shall be the normal practice of such Third Party Gathering System) within ten (10) days of receipt of by Shipper, together with Shipper's statementcalculation of the amount due to Gatherer under Section 7.4 for such month. This fee shall be due and payable within twenty (20) days from the date Shipper receives the statement from the Third Party Gathering System. Each of Gatherer and Shipper shall preserve its records relating to any statement delivered pursuant to this Section 8.1 for a period of at least three (3) years after such statement is delivered.

Statements and Payments. In connection with fees payable to Gatherer under Article 7 (a) On or before the 25th of this Agreementeach Month, Gatherer shall prepare and submit will tender to Shipper each month Producer a monthly statement showing for the prior month preceding Month the following: (i) the volume quantity of Shipper's Gas Producer’s Products and water received by Gatherer at the Receipt PointsPoints (in Mcf and Bbl), with such quantity allocated between Producer’s Oil and Producer’s Gas received by Gatherer and attributable to (1) Existing Production from Western Catarina, (2) Existing Production from Eastern Catarina, (3) New Production from Western Catarina, (4) New Production from Eastern Catarina (other than New Production from the Subject ▇▇▇▇▇); and (5) all New Production from the Subject ▇▇▇▇▇; (ii) Shipper's Field Fuel, the Net Delivery Quantity of Producer’s Oil and Producer’s Gas delivered to each Delivery Point (in Mcf and Bbl); (iii) the volume amount of Shipper's Gas delivered Producer’s Condensate and water recovered and removed at each Delivery Point (in Bbl); (iv) the Gathering and Processing Fees for such quantities transported by Gatherer; (v) the amount of Other System Fuel consumed by Gatherer for such Month, and the value therefore calculated by Gatherer pursuant to Section 17.1(b); and (vi) the Delivery Points. Shipper shall provide total net amount then due to Producer or Gatherer, as the case may be, under this Agreement. (b) All amounts owed under this Agreement not subject to a good faith dispute pursuant to Section ‎5.4 (other than for indemnity obligations), including any amounts for prior period adjustments and late payments, if any, will be netted between the Parties on a Monthly basis. If a Monthly statement reflects that Gatherer owes an amount to Producer, Gatherer will remit the amount due to Producer on or before the last Day of the Month in which such statement was rendered. If a Monthly statement reflects that Producer owes an amount to Gatherer, Producer will remit the amount due to Gatherer within thirty (30) days Days after the end of each month, a statement delivery to Producer of the gathering fees monthly statement. Payment will be by ACH or wire transfer of immediately available funds. (c) If (i) a Party fails to pay the entire undisputed amount of any invoice or other payment request when such amount is due, or (ii) an amount disputed in good faith by the Disputing Party pursuant to Section ‎5.4 is later determined to be due to the Non-Disputing Party, then, in each case, the other Party may ▇▇▇▇ such nonpaying Party a charge for such monthlate payment which will be included by the other Party either on the next regular invoice rendered, or by separate invoice. Shipper's statement shall Any dispute initiated by either Party challenging the rates expressly set forth in Exhibit B hereto shall be deemed not in good faith. The charge for any late payment will be equal to the product of (a) the unpaid, undisputed portion of the invoice, times (b) the ratio of the number of Days from the due date to the date of actual payment in full to 365, times (c) the lesser of (i) the volumes of Shipper's Gas for which payments have been received; then-effective prime interest rate as published in the Wall Street Journal, plus 2% per annum and (ii) an allocation of such Shipper's Gas among the three gathering fee categories established maximum interest rate permitted by Sections 7.2, 7.3 and 7.4, respectively; (iii) an itemization of applicable law. If the Gross Sale Price or Prices received for the Shipper's Gas in each category; and (iv) a calculation of the gathering fees for such Shipper's Gas. Gatherer shall have the right to inspect Shipper's books and records relating to such Shipper's Gas for purposes of verifying the accuracy of Shipper's statement. Gatherer shall advise Shipper within 30 days of Gatherer's receipt of Shipper's statement if Gatherer believes Shipper's statement Wall Street Journal ceases to be inaccurate in any respect. If Gatherer does not so advise Shipperpublished or discontinues publishing a prime rate, Shipper's statement the unpaid balance shall be deemed to be correct. The gathering fee shall be due and payable upon Gatherer's receipt of Shipper's statement. Each of Gatherer and Shipper shall preserve its records relating to any statement delivered pursuant to this Section 8.1 for a period of bear interest compounded monthly at least three the prime rate published by the Federal Reserve plus two percent (32%) years after such statement is deliveredper annum.
