Statements as to Defaults Clause Samples

The "Statements as to Defaults" clause requires one party to confirm whether any defaults or breaches have occurred under the agreement or related documents. Typically, this involves a representation or warranty that, to the best of the party’s knowledge, no event of default is ongoing or has occurred, or if any have, they are fully disclosed. This clause provides assurance to the other party that the agreement is being properly observed and helps identify potential risks or issues early, thereby supporting transparency and informed decision-making.
