Statements made During Negotiation Process Sample Clauses
The "Statements made During Negotiation Process" clause defines how statements, promises, or representations made by either party during contract negotiations are treated in relation to the final agreement. Typically, this clause clarifies that only the terms explicitly included in the signed contract are legally binding, and that any prior discussions, emails, or verbal assurances do not form part of the enforceable agreement unless specifically incorporated. Its core function is to prevent misunderstandings or disputes by ensuring that only the finalized, written terms govern the parties’ relationship, thereby reducing the risk of claims based on informal or preliminary communications.
