No representation or warranty or other statement made by Buyer in this Agreement , including all Schedules as delivered on the date hereof and updated as of the Closing Date pursuant to the terms hereof, contains, or will contain any untrue statement of any material fact or omit to state any material fact required to be stated herein to make such statement, in light of the circumstances under which they were made, not misleading.
