Status of Guarantor. As of the Closing Date, the Guarantor has not carried on any business (other than holding the capital stock of the Borrower) and has no liabilities (other than pursuant to the Loan Documents and non-cash deferred tax assets and liabilities owed to governmental authorities) except for matters relating to and liabilities incurred in connection with its incorporation and status as a publicly traded company under the Securities Act of 1933 and the Securities Exchange Act of 1934 and the acquisition and ownership by the Guarantor of the capital stock of the Borrower.
