Status of Subcontractor Clause Samples

Status of Subcontractor. Subcontractor enters into this Agreement, and will remain throughout the term of the Agreement, as an independent contractor.
Status of Subcontractor. As between Supplier and the Relevant Company to which the subcontract relates, the Subcontractor will be considered the agent of Supplier. For the purposes of the Agreement, the acts and omissions of each Subcontractor and its Personnel will be deemed to be the acts and omissions of Supplier.
Status of Subcontractor. A. Nothing in this Agreement shall cause Subcontractor in any way to be construed as a partner or joint venturer with, or an employee of, Company in connection with or arising from Subcontractor’s performance of the Work under this Agreement. Company retains Subcontractor only for the purposes and to the extent as set forth in this Agreement and the SOWs, and Subcontractor’s relation to Company during the Term shall be that of an independent Subcontractor and nothing herein shall create or imply any other or different relationship. B. Subcontractor acknowledges that: (a) nothing herein constitutes the exercise by Company of control or direction over the manner or method by which Subcontractor will perform the Work; (b) Subcontractor is solely responsible for the withholding and payment of all federal, state and local income, social security and unemployment taxes, salaries, and other payments required to be made by it from funds received from Company hereunder; and (c) Company is not required to and will not provide any workers’ compensation or other insurance coverage of any nature, or any other unemployment, medical, dental, welfare or pension benefits to Subcontractor or any of its employees or subcontractors. Subcontractor acknowledges that persons performing Work are employees, agents or subcontractors of Subcontractor and Subcontractor shall exercise full control and supervision over such persons.
Status of Subcontractor. Subcontractor enters into this Agreement, and will remain throughout the Term, as an independent contractor. Subcontractor agrees that Subcontractor does not and will not have any authority to act for, represent, obligate, or bind The Center in any way, nor in any way be deemed an agent, partner, joint venturer, employee, or in any other capacity a representative of The Center. Subcontractor agrees that Subcontractor is not entitled to the rights or benefits afforded to The Center’s employees, including but not limited to disability or unemployment insurance, workers’ compensation, medical insurance, sick leave, or any other employment benefit. Subcontractor is responsible for providing, at its own expense, disability insurance, unemployment insurance, workers’ compensation insurance, and any other insurance, training, permits, and licenses for itself and for its employees and sub-subcontractors of any tier.

  • PAYMENT OF SUBCONTRACTORS Contractor shall pay any of its subcontractors not later than seven (7) days after receipt of any progress payment, unless otherwise agreed to in writing, the respective amounts allowed Contractor on account of the work performed by subcontractor(s), to the extent of each subcontractor’s interest therein, except as otherwise provided in Business and Professions Code Section 7108.5.

  • Use of Subcontractors Nothing in this Appendix 2 shall prevent the Interconnection Parties from utilizing the services of subcontractors as they deem appropriate to perform their respective obligations hereunder, provided, however, that each Interconnection Party shall require its subcontractors to comply with all applicable terms and conditions of this Appendix 2 in providing such services.

  • Oversight of Subcontractors In the event that Vendor engages subcontractors or other authorized persons or entities to perform one or more of its obligations under the Master Agreement (including subcontracting hosting of the Protected Data to a hosting service provider), it will require those subcontractors or other authorized persons or entities to whom it will disclose the Protected Data to execute legally binding agreements acknowledging their obligation under Section 2-d of the New York Education Law to comply with all applicable data protection, privacy and security requirements required of Vendor under the Master Agreement and applicable state and federal law and regulations.
