Common use of Status of the Subadviser Clause in Contracts

Status of the Subadviser. The services of the Subadviser to the Adviser and the Corporation are not to be deemed exclusive, and the Subadviser shall be free to render similar services to others. The Subadviser shall be deemed to be an independent contractor and shall, except as authorized by this Agreement or as otherwise expressly provided or authorized, have no authority to act for or represent the Corporation in any way or otherwise be deemed an agent of the Corporation. Each of Adviser and the Subadviser will provide the other party with a list, to the best of Adviser’s or Subadviser’s respective knowledge, of each affiliated person (and any affiliated person of such an affiliated person) of Adviser or the Subadviser, as the case may be, and each of Adviser and the Subadviser agrees promptly to update such list whenever Adviser or the Subadviser becomes aware of any changes that should be added to or deleted from the list of affiliated persons.
