Common use of Stock Splits and Combinations Clause in Contracts

Stock Splits and Combinations. If the Company shall subdivide (by means of any stock split, stock dividend, recapitalization or otherwise) the outstanding shares of Common Stock into a greater number of shares of Common Stock, or combine (by means of any combination, reverse stock split or otherwise) the outstanding shares of Common Stock into a lesser number of shares, or issue by reclassification of shares of Common Stock any shares of the Company, the Purchase Option Share Amount and the Purchase Option Exercise Price in effect immediately prior thereto shall be adjusted so that the Underwriter shall receive the number of shares of Common Stock at the exercise price which the Underwriter would have been entitled after the happening of any and each of the events described above if the Underwriter had exercised the Purchase Option held by the Underwriter immediately prior to the happening of each such event on the day upon which such subdivision or combination, as the case may be, becomes effective.

Additional shares of Common Stock deemed to have been issued pursuant to this Section 1.6(b) shall be deemed to have been issued for no consideration.
