Store Development. You agree to develop the STORE in accordance with IGA Store guidelines, including size, layout, fixtures, equipment, décor and exterior and interior signs. In connection with the construction of a new store or the remodeling of an existing store, you agree to: prepare all required construction plans and specifications that comply with applicable ordinances, building codes, permits, licenses, lease requirements and restrictions.

Store Development. (a) Licensee shall develop, exploit and maintain in the Territory the market for the Licensed Products in keeping with the prestige of the Trademarks and the high quality products associated therewith. Notwithstanding, provided this Agreement has not expired or been terminated, Licensee shall: (1) during the first five (5) Contract Years of the Term own and operate not less than 5 stores or points of distribution in the Territory; and (2) not less than 8 thereafter. (b) All aspects of the design and decoration and, as applicable, the renovation, of all Stores, including without limitation the materials, furnishings, signs, decoration, equipment and interior and exterior design must conform with Licensor's specifications and the quality of the same shall be subject to Licensor's approval.
Store Development. (a) Licensee shall use commercially reasonable best efforts to develop, exploit and maintain in the Territory the market for the Licensed Products in keeping with the prestige of the Trademarks and the high quality products associated therewith. Notwithstanding the generality of the foregoing, provided this Agreement has not expired or been terminated, Licensee shall at all times: (1) during the ten (10) year period commencing on April 1, 2021 own and operate not less than 5 stores, shop-in-shops and other high-end points of distribution in the Territory; and (2) during the ten (10) year period commencing on April 1, 2031 own and operate not less than 8 stores, shop-in-shops and other high-end points of distribution in the Territory. Licensor and Licensee shall enter into such additional agreements as are necessary for Licensee to own and operate stores, shop-in-shops and other high-end points of distribution in the Territory. (b) All aspects of the design and decoration and, as applicable, the renovation, of all Stores, including without limitation the materials, fittings, fixtures, furnishings, signs, decoration, equipment and interior and exterior design must conform with Licensor’s specifications and the quality of the same shall be subject to Licensor’s approval. Fixtures may be purchased by Licensee only from vendors and sources approved by Licensor. Licensee shall obtain (at Licensee’s expense) the services of such store designer as Licensor may reasonably designate in connection with the design and decoration of the first Store in the Territory. Thereafter, Licensee may designate its own architect in connection with the design and decoration of each Shop and Store, but shall cause such architect to work cooperatively and in good faith with Licensor in connection with the development and execution of each such project. Each Store shall, unless otherwise agreed by Licensor in its sole discretion, be owned and operated solely by Licensee in accordance with the Retail Store Requirements set forth in Schedule 6.4 annexed hereto and, except as expressly otherwise set forth in such Retail Store Requirements, on all of the terms and conditions set forth herein.
Store Development. 1.1.1 AEC will, at its sole expense, design, create and develop the Store on behalf of, and in cooperation with, Company, pursuant to the specifications set forth in Exhibit 2 attached hereto. 1.1.2 AEC shall provide software repairs to the Store for the development effort completed by AEC and as defined in said Exhibit 2. It is understood by both parties that on-going enhancements of the Store shall be regularly required to keep the Store compelling and competitive in the marketplace. Therefore, Company and AEC agree that a transition period is required after AEC completes its initial service role in the development of the Store and to shift the on-going development effort required on the Store to the Company for its control and continued improvement. 1.1.3 AEC shall use its best commercially reasonable efforts to make available to Company the required information to facilitate the Transition (as defined below) in a manner that minimizes interruptions to each party. AEC shall deliver to Company the latest version of the source code for the Store as and when it is updated, but in any event no less frequently than twice per month. Upon Company's request, but in no event later than upon the commencement of the Transition, AEC shall deliver to Company complete documentation for the source code. 1.1.4 Company shall cooperate with AEC to develop the technical linkages between the Store, UBL.▇▇▇ ▇▇▇ the AMG Database. AEC will not intentionally design or develop the Store in a manner that would prevent Company from adapting the Store to accommodate the inventory availability databases used by other fulfillment providers if AEC is no longer fulfilling Product for the Store.
Store Development. 8.1 Franchisee is responsible for developing the STORE. In the System Standards Manuals, Franchisor will furnish Franchisee with mandatory and suggested specifications and layouts for a Krispy Kreme Store, including requirements for dimensions, design, image, interior layout, decor, equipment, fixtures, furnishings, construction materials, and signs. Franchisee acknowledges that the System Standards Manuals do not contain the requirements of any federal, state, or local law, code, ordinance or regulation (including building codes, permit requirements, and regulations and the ADA or similar rules governing accommodations for persons with disabilities). Franchisee is obligated to have prepared all required construction plans and specifications to suit the shape and dimensions of the Site and to insure that such plans and specifications comply with all applicable state, federal, and local laws, codes, ordinances, regulations (including building codes, permit requirements, and regulations and the ADA or similar rules governing accommodations for persons with disabilities). Franchisee is obligated to submit construction plans and specifications to Franchisor for approval before construction of the STORE is commenced and, at Franchisor’s request, to submit all revised plans and specifications during the course of such construction with “as built” plans to be provided upon completion. Franchisor may be willing to assist Franchisee in developing the STORE by recommending engineers and architects and otherwise furnishing information to assist Franchisee in developing the STORE in accordance with Franchisor’s specifications. 8.2 Franchisee agrees, at its own expense, to do the following with respect to developing the STORE at the Site: (a) secure all financing required to develop and operate the STORE; (b) obtain all building, utility, sign, health, sanitation, business and other permits and licenses required to construct and operate the STORE; (c) construct all required improvements to the Site and decorate the STORE in compliance with plans and specifications and designs Franchisor has approved; (d) purchase or lease and install all required equipment, fixtures, furnishings, and signs required for the STORE; and (e) purchase an opening inventory of authorized and approved materials and supplies, certain of which items must be purchased from Franchisor, its Affiliates, or suppliers designated by Franchisor, all as described in the System Standards Manuals. 8.3 Fran...

  • Software Development Software designs, prototypes, and all documentation for the final designs developed under this agreement must be made fully transferable upon direction of NSF. NSF may make the software design, prototype, and documentation for the final design available to competitors for review during any anticipated re-competition of the project.

Where risks are identified, appropriate mitigation action is required to reduce or eliminate the risk to sustainability. The Authority may at times require input from the Contractor in order to ensure that this process is given the required levels of consideration.
