Common use of Structure Chart Clause in Contracts

Structure Chart. 11.26.1 The Structure Chart delivered or to be delivered to the Agent pursuant to Part I of Schedule 2 is true, complete and accurate in all material respects and shows the following information: (i) each relevant member of the Group and the Target, including current name and company registration number, its jurisdiction of incorporation and/or establishment and (other than in the case of the Guarantor) a list of shareholders; and (ii) all minority interests in any member of the Target and any person in which the Target holds shares in its issued share capital or equivalent ownership interest of such person. 11.26.2 All necessary intra-Group loans, transfers, share exchanges and other material steps resulting in the final structure of the relevant portion of the Group and, following the Acquisition, of the Target have been or will be taken in compliance with all relevant laws and regulations and all requirements of relevant regulatory authorities.
