Common use of SUB-CONTRACTING AND ASSIGNMENT Clause in Contracts

SUB-CONTRACTING AND ASSIGNMENT. 18.1 Subject to clause 18.3, neither party shall assign, novate, subcontract or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier sub-contract the whole or any part of its obligations under this agreement except with the express prior written consent of the Authority, such consent not to be unreasonably withheld. 18.2 In the event that the Supplier enters into any Sub-Contract in connection with this agreement it shall: (a) remain responsible to the Authority for the performance of its obligations under the agreement notwithstanding the appointment of any Sub-Contractor and be responsible for the acts omissions and neglects of its Sub-Contractors; (b) impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement and shall procure that the Sub-Contractor complies with such terms; and (c) provide a copy, at no charge to the Authority, of any such Sub-Contract on receipt of a request for such by the Authority’s Authorised Representative. 18.3 The Authority shall be entitled to novate (and the Supplier shall be deemed to consent to any such novation) the agreement to any other body which substantially performs any of the functions that previously had been performed by the Authority.

LIABILITY

SUB-CONTRACTING AND ASSIGNMENT. 18.1 11.1. Subject to clause 18.311.3, neither party the Provider shall not assign, novate, subcontract or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier sub-contract Provider sub- agreement the whole or any part of its obligations under this agreement except with the express prior written consent of the AuthorityNIoT, such consent not to be unreasonably withheld. 18.2 In 11.2. If the event that the Supplier Provider enters into any Sub-Contract contract in connection with this agreement it shall: (a) 11.2.1. remain responsible to the Authority NIoT for the performance of its obligations under the this agreement notwithstanding the appointment of any Sub-Contractor and be responsible for the acts act's omissions and neglects of its Sub-Contractors; (b) 11.2.2. impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement and shall procure that the Sub-Contractor complies with such terms; and (c) 11.2.3. provide a copy, at no charge to the AuthorityNIoT, of any such Sub-Contract Agreement on receipt of a request for such by the Authority▇▇▇▇’s Authorised Representative. 18.3 The Authority 11.3. NIoT shall be entitled to novate (and the Supplier Provider shall be deemed to consent to any such novation) this agreement to: 11.3.1. the agreement to Department; or 11.3.2. any other body which substantially performs any of the functions that previously had been performed by the Authority▇▇▇▇.

SUB-CONTRACTING AND ASSIGNMENT. 18.1 21.1 Subject to clause 18.321.3, neither party shall be entitled to assign, novate, subcontract novate or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier Service Provider sub-contract the whole or any part of its obligations under this agreement except with the express prior written consent of the Authority, such consent not to be unreasonably withheld. 18.2 21.2 In the event that the Supplier Service Provider enters into any Sub-Contract in connection with this agreement it shall: (a) remain responsible to the Authority for the performance of its obligations under the agreement notwithstanding the appointment of any Sub-Sub- Contractor and be responsible for the acts omissions and neglects of its Sub-Contractors; (b) impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement and shall procure that the Sub-Sub- Contractor complies with such terms; and (c) provide a copy, at no charge to the Authority, of any such Sub-Contract Contractor on receipt of a request for such by the Authorised Representatives of the Authority’s Authorised Representative. 18.3 21.3 The Authority shall be entitled to novate (and the Supplier shall be deemed to consent to any such novation) the agreement to any other body which substantially performs any of the functions that previously had been performed by the Authority.

SUB-CONTRACTING AND ASSIGNMENT. 18.1 23.1 Subject to clause 18.3Clause 23.3, neither party shall assign, novate, subcontract novate or otherwise dispose of any or all of its rights and obligations under this agreement Agreement without the prior written consent of the other party, neither may the Supplier Service Provider sub-contract the whole or any part of its obligations under this agreement Agreement except with the express prior written consent of the Authority, such consent not to be unreasonably withheld. 18.2 23.2 In the event that the Supplier Service Provider enters into any Sub-Contract in connection with this agreement Agreement it shall: (a) remain responsible to the Authority for the performance of its obligations under the agreement Agreement notwithstanding the appointment of any Sub-Contractor and be responsible for the acts omissions and neglects of its Sub-Contractors; (b) impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement Agreement and shall procure that the Sub-Contractor complies with such terms; (c) impose an obligation on its Sub-Contractor in terms that the Sub- Contractor shall only accept instructions commissioning new services and/or variations to any Sub-Contract from the Service Provider and shall use all reasonable endeavours to procure that the Sub-Contractor complies with such obligation. For the avoidance of doubt, the Authority shall not issue instructions commissioning new services and/or variations to any Sub-Contractor and neither shall the Sub-Contractor accept any such instructions and/or variations from the Authority; and (cd) provide a copy, at no charge to the Authority, of any such Sub-Contract on receipt of a request for such by the Authority’s 's Authorised Representative. 18.3 23.3 The Authority shall be entitled to novate (and the Supplier shall be deemed to consent to any such novation) the agreement Agreement to any other body which substantially performs any of the functions that previously had been performed by the Authority.

SUB-CONTRACTING AND ASSIGNMENT. 18.1 17.1 Subject to clause 18.317.3, neither party shall be entitled to assign, novate, subcontract novate or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier Service Provider sub-contract the whole or any part of its obligations under this agreement except with the express prior written consent of the Authority, such consent not to be unreasonably withheld. 18.2 17.2 In the event that the Supplier Service Provider enters into any Sub-Contract in connection with this agreement it shall: (a) remain responsible to the Authority for the performance of its obligations under the agreement notwithstanding the appointment of any Sub-Sub- Contractor and be responsible for the acts omissions and neglects of its Sub-Sub- Contractors; (b) impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement and shall procure that the Sub-Sub- Contractor complies with such terms; and (c) provide a copy, at no charge to the Authority, of any such Sub-Contract on receipt of a request for such by the Authority’s 's Authorised Representative. 18.3 17.3 The Authority shall be entitled to novate (and the Supplier shall be deemed to consent to any such novation) the agreement to any other body which substantially performs any of the functions that previously had been performed by the Authority.

SUB-CONTRACTING AND ASSIGNMENT. 18.1 26.1 Subject to clause 18.326.3, neither party shall be entitled to assign, novate, subcontract novate or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier Provider sub-contract the whole or any part of its obligations under this agreement except with the express prior written consent of the Authority, Authority such consent not to be unreasonably withheld. 18.2 26.2 In the event that the Supplier Provider enters into any Sub-Contract in connection with this agreement it shall: (a) remain responsible to the Authority for the performance of its obligations under the agreement notwithstanding the appointment of any Sub-Contractor and be responsible for the acts omissions and neglects of its Sub-Contractors; (b) impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement and shall procure that the Sub-Contractor complies with such terms; and (c) provide a copy, at no charge to the Authority, of any such Sub-Contract on receipt of a request for such by the Authority’s 's Authorised Representative. 18.3 26.3 The Authority shall be entitled to novate (and the Supplier shall be deemed to consent to any such novation) the agreement to any other body which substantially performs any of the functions that previously had been performed by the Authority.. LIABILITY

SUB-CONTRACTING AND ASSIGNMENT. 18.1 11.1 Subject to clause 18.311.3, neither party shall assign, novate, subcontract or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier Provider sub-contract the whole or any part of its obligations under this agreement except with the express prior written consent of the AuthorityFair4All Finance, such consent not to be unreasonably withheld. 18.2 11.2 [In the event that the Supplier Provider enters into any Sub-Contract in connection with this agreement it shall: (a) 11.2.1 remain responsible to the Authority Fair4All Finance for the performance of its obligations under the agreement notwithstanding the appointment of any Sub-Contractor and be responsible for the acts omissions and neglects of its Sub-Contractors; (b) 11.2.2 impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement and shall procure that the Sub-Contractor complies with such terms; and (c) provide a copy, at no charge to the Authority, of any such Sub-Contract on receipt of a request for such by the Authority’s Authorised Representative. 18.3 The Authority 11.3 Fair4All Finance shall be entitled entitled: 11.3.1 to assign its rights and obligations under this agreement to a third party in connection with a disposal or restructuring of all or part of its business; or 11.3.2 to novate (and the Supplier Provider shall be deemed to consent to any such novation) the this agreement to any other body which substantially performs any of the functions that previously had been performed by the AuthorityFair4All Finance.

SUB-CONTRACTING AND ASSIGNMENT. 18.1 Subject to clause 18.318.3 and 18.4, neither party Party shall assign, novate, subcontract novate or otherwise dispose of any or all of its rights and obligations under this agreement Agreement without the prior written consent of the other partyParty, neither may the Supplier sub-sub- contract the whole or any part of its obligations under this agreement Agreement except with the express prior written consent of the AuthorityCouncil, such consent not to be unreasonably withheld. 18.2 In the event that the Supplier enters into any Sub-Contract in connection with this agreement Agreement it shall: (a) remain responsible to the Authority Council for the performance of its obligations under the agreement this Agreement notwithstanding the appointment of any Sub-Sub- Contractor and be responsible for the acts acts, omissions and neglects of its Sub-Contractors; (b) impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement Agreement and shall procure that the Sub-Contractor complies with such terms; and (c) provide a copy, at no charge to the AuthorityCouncil, of any such Sub-Contract on receipt of a request for such by the Authority’s Authorised Representativesame from the Council. 18.3 The Authority Parties acknowledge that the Council shall be procuring new waste collection and street cleansing services to commence in approximately April 2017. In the event that the Council enters into a contract with a new waste collection and street cleansing contractor (the “New Contractor”), the Council may require this Agreement to be novated and/or assigned to the New Contractor with effect that the obligations and rights of the Council are transferred to the New Contractor. In such circumstances, the Supplier shall at its own cost do all such things and execute all such documents as are necessary to give effect to that novation/assignment. 18.4 The Council shall at any time to be entitled to assign, transfer, sub-contract, novate (and the Supplier shall be deemed to consent to any such novation) the agreement or otherwise dispose of this Agreement to any other body which substantially performs any of the functions that previously had been performed by the AuthorityCouncil.

SUB-CONTRACTING AND ASSIGNMENT. 18.1 20.1 Subject to clause 18.320.3, neither party shall assign, novate, subcontract novate or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier sub-contract the whole or any part of its obligations under this agreement except with the express prior written consent of the Authority[, such consent not to be unreasonably withheld]. 18.2 20.2 In the event that the Supplier enters into any Sub-Contract in connection with this agreement it shall: (a) remain responsible to the Authority for the performance of its obligations under the agreement notwithstanding the appointment of any Sub-Sub- Contractor and be responsible for the acts omissions and neglects of its Sub-Sub- Contractors; (b) impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement and shall procure that the Sub-Sub- Contractor complies with such terms; and (c) provide a copy, at no charge to the Authority, of any such Sub-Contract on receipt of a request for such by the Authority’s 's Authorised Representative. 18.3 20.3 The Authority shall be entitled to novate (and the Supplier shall be deemed to consent to any such novation) the agreement to any other body which substantially performs any of the functions that previously had been performed by the AuthorityAuthority.‌ 20.4 Provided that the Authority has given prior written consent, the Supplier shall be entitled to novate the agreement where: (a) the specific change in contractor was provided for in the procurement process for the award of this agreement; (b) there has been a universal or partial succession into the position of the Supplier, following a corporate restructuring, including takeover, merger, acquisition or insolvency, by another economic operator that meets the criteria for qualitative selection applied in the procurement process for the award of this agreement.
