Common use of Sub-Servicing Agreements Between Servicer and Sub-Servicers Clause in Contracts

Sub-Servicing Agreements Between Servicer and Sub-Servicers. The Servicer may enter into Sub-Servicing Agreements for the servicing and administration of Mortgage Loans with any institution which is in compliance with the laws of each state necessary to enable it to perform its obligations under any such Sub-Servicing Agreement. For purposes of this Agreement, the Servicer shall be deemed to have received payments on Mortgage Loans when any Sub-Servicer has received such payments. The Servicer covenants that any such Sub-Servicing Agreement shall be consistent with and not in violation of the provisions of this Agreement. The Servicer shall give written notice to the Backup Servicer, the Depositor, the Rating Agencies and the Trustee of the appointment of any Sub-Servicer (other than WCC), and shall provide to each of them a copy of the related Sub-Servicing Agreement.
