Common use of Subcontract Terms Clause in Contracts

Subcontract Terms. All portions of the Work performed by a subcontractor or sub-subcontractor shall be pursuant to an appropriate agreement between the Contractor and the subcontractor (and where appropriate between subcontractors and sub-subcontractors) which shall contain provisions that: (a) Preserve and protect the rights of the Owner under the Contract Documents, including, but not limited to, the obligation to indemnify the Owner as set forth in Article 21 of this Contract with respect to the portion of the Work to be performed under the subcontract (or sub-subcontract) so that the subcontracting will not prejudice such rights; and (b) Require that such Work be performed in accordance with the requirements of the Contract Documents; and (c) Require submission to the Contractor of applications for payment under each subcontract to which the Contractor is a party; and (d) Require that all requests for additional compensation, extensions of time or otherwise with respect to subcontracted portions of the Work be submitted to the Contractor (via any subcontractor or sub- subcontractor where appropriate) in sufficient time so that the Contractor may comply in the manner provided in the Contract Documents for like requests by the Contractor upon the Owner; and (e) Name the Owner as an additional insured under all applicable insurance policies; and (f) Require compliance with the federal Disadvantaged Business Enterprise (“DBE”) requirements, including, but not limited to, the non-discrimination and prompt pay provisions.
