Subject to the Memorandum Clause Samples

The 'Subject to the Memorandum' clause establishes that the terms and provisions of the current agreement are governed by, and must be interpreted in accordance with, the overarching Memorandum referenced by the parties. In practice, this means that if there is any inconsistency or conflict between the agreement and the Memorandum, the terms of the Memorandum will take precedence. This clause ensures consistency and alignment between related documents, preventing contradictions and clarifying which document controls in the event of a dispute.
Subject to the Memorandum the personal representative of a deceased Shareholder may transfer a Share even though the personal representative is not a Shareholder at the time of the transfer.
