Common use of Sublicensing Terms Clause in Contracts

Sublicensing Terms. All sublicenses that may be granted by Licensee hereunder shall contain terms and conditions no less restrictive than, no less protective of ▇▇▇▇’▇ rights than, and consistent with those set forth in this Agreement, shall be subject to the termination of this Agreement (subject to Section 2B(iii)); and shall identify ▇▇▇▇ as a third party beneficiary thereof. No sublicense shall purport to grant any rights that extend beyond the scope of rights granted to Licensee under this Agreement. Licensee shall have the same responsibility for the activities of any sublicensee as if the activities were directly those of Licensee; any act or omission of a sublicensee which would be a breach of this Agreement if performed by Licensee shall be deemed to be a breach by Licensee.
