Subscriber to notify ▇▇▇▇. The Subscriber must: (a) promptly notify ▇▇▇▇ on becoming aware of an actual, suspected or proposed claim against the Subscriber that will or is reasonably likely to cause a claim to be made against ▇▇▇▇ by any person (including the Subscriber); (b) at ▇▇▇▇’▇ expense, and upon ▇▇▇▇ agreeing to unconditionally indemnify the Subscriber and the Subscriber's client in respect of any such claim, do all things necessary to assign to ▇▇▇▇ the absolute right to conduct the defence of the claim against the Subscriber or enter into settlement discussions with the claimant against the Subscriber; and (c) at ▇▇▇▇’▇ expense, provide ▇▇▇▇ with such assistance as it requires in conducting the defence of the claim or the settlement discussions, but only to the extent that such assistance does not cause a breach of the Subscriber's obligation to maintain privilege or client confidentiality.
