Subscription Software. 5.2.1 In relation to sales of Subscription Software, QGate shall invoice and collect payment from the Reseller. 5.2.2 The default monthly payment option will be via secure credit card facilities. Should the Reseller (or Resellers Customer) prefer Quarterly or Annual billing this will be considered on a case-by-case basis. 5.2.3 The charges will be based on the published End User pricing minus the partner margin as defined in Schedule 1.

Subscription Software. Subject to the terms of this ▇▇▇▇, eMDs hereby grants to Customer a limited, revocable, non-exclusive, non-transferable, non-sublicenseable right to access and use the Subscription Software for Customer’s internal business operation in accordance with this ▇▇▇▇, eMDs’ Acceptable Use Policy (available in the eMDs Legal Documents Resource Center on eMDs Support Center) and the Documentation (the “Subscription License”). The Subscription Software may be used concurrently only by the number of Providers and total number of Concurrent Users designated in the Service Order.

Database or server instances may be deployed as single nodes or in clusters. Where deployed in clusters each node of each cluster shall be classed as a single license for the purposes of calculating the quantity of licenses used.

Subscription Software. During the Subscription Software Term, as identified in the applicable Ordering Documents, and upon payment of Fees, Motorola grants Customer a non-exclusive, non-transferable right and license to access the Subscription Software for use in accordance with the terms of this Agreement. Although Customer is responsible for ensuring their use of ComparisonManager adheres to regional laws and regulations, Motorola reserves the right to immediately terminate or change the Subscription Software offering due to changes in applicable laws or regulations, reputational risk, or any prohibition of sales. Notwithstanding any other provision to the contrary, and in addition to all other rights in the MCA, Motorola reserves the right to suspend delivery of the Subscription Software immediately upon notice to Customer if Customer or its Authorized Users violates the terms of this Addendum.

Subscription Software. The term of the license for Subscription Software shall begin and end on the dates set forth in the Order (the “Subscription Term”), unless terminated in accordance with this Agreement or an amendment hereto. Any Subscription Software will automatically renew for subsequent terms of the same duration as the initial Subscription Term and at the same quantities in use at the end of the then-current Subscription Term, unless Licensee notifies Netwrix in writing that it will not renew at least sixty (60) days in advance of the end date of the then-current term. Netwrix reserves the right to increase fees for each renewal, which increases will be communicated to Licensee prior to expiration of the then-current term. In the event a Subscription Term expires without renewing automatically or being otherwise renewed by Licensee, then Licensee must pay a fee equal to ten percent (10%) multiplied by the fees applicable to the last year of the most recent Subscription Term in order to reinstate its use of the Subscription Software (the “Subscription Reinstatement Fee”). For the avoidance of doubt, the Subscription Reinstatement Fee is in addition to fees for use of the Subscription Software itself.

Subscription Software. For Subscription Software, Customer is solely responsible for the installation of Updates and agrees to (i) meet the Update standard set forth by EOS and (ii) maintain the Operating Environment. With respect to Subscriptions, EOS is responsible for the implementation of Updates and shall no longer provide access to any previous release upon the date EOS migrates to a new Update for production use in EOS’s hosted environment.

Subscription Software. If you are licensing the Software on a subscription basis, Tenable will provide the Support Services at no additional charge beyond Your License Fee for the duration of the Term. If You license the Software on a subscription basis, the Maintenance Term (as defined below) will be coterminous with Your License Term.

Subscription Software. If you licensed the Software on a subscription basis, your rights to use the Software are limited to the subscription period. You have the option to extend your subscription. If you do not extend your subscription, after the expiration of your subscription, you are legally obligated to discontinue your use of the Software and completely remove the Software from your system or computer. Licensed Software that is lawfully purchased from JEOL UK or JEOL and is not (i) a Subscription license, (ii) provided for Evaluation Use, or (iii) otherwise limited to a finite term as indicated in a purchase order, if any, shall be deemed to have a Perpetual License Term.
