Common use of Subscription Term and Termination Clause in Contracts

Subscription Term and Termination. 9.1 Term of this SaaS Schedule. Service subscriptions purchased by You will entitle You to use the Service for the Subscription Term(s) set forth in Your Order Form. Service subscriptions may be purchased for monthly, annual or multi-year Subscription Terms and such Subscription Terms are renewable as follows: (i) for a monthly Subscription Term – for an additional month commencing at the end of Your current monthly Subscription Term provided that neither You nor UPSIIDE has provided notice of non-renewal at least two (2) days prior to the end of Your then- current monthly Subscription Term; (ii) for an annual Subscription Term – for an additional one (1) year period commencing at the end of Your current annual Subscription Term provided that neither You nor UPSIIDE has provided notice of non-renewal at least forty-five (45) days prior to the end of Your then-current annual Subscription Term; and (iii) for multi-year Subscription Term – for the same multi-year period as Your current multi-year Subscription Term commencing at the end of Your current multi-year Subscription Term provided that neither You nor UPSIIDE has provided notice of non-renewal at least forty-five (45) days prior to the end of Your then-current multi-year Subscription Term. This SaaS Schedule will commence on the date of UPSIIDE’s acceptance of Your first Order for the Service or the effective date of Your Order Form incorporating this SaaS Schedule, whichever occurred earlier, and shall continue thereafter for as long as You have an active Subscription Term (which period shall constitute the “Term” of this SaaS Schedule).

Subscription Term and Termination. 9.1 Term This Service Agreement shall be effective as of the Enrollment Date. The term shall commence on the Enrollment Date and will continue until terminated in accordance with this SaaS ScheduleSection 9 (the “Subscription Term”). Subject to payment of any Charging Equipment removal fee described in this Service subscriptions purchased Agreement, you may terminate this Service Agreement for any reason at any time by You providing Xcel Energy thirty (30) calendar days of prior written notice of such termination. If Xcel Energy is terminating this Service subscriptions Agreement due to your failure to pay for electricity and charging services under this Service Agreement, Xcel Energy will provide you with advanced notification and attempt to work with you to become current on your bill in accordance with Xcel Energy’s discontinuance of service policies set forth in our Electric Tariff and in compliance with Commission rules. We may be purchased for monthlyalso terminate this Service Agreement immediately, annual or multi-year Subscription Terms and such Subscription Terms are renewable as followsif: (i) you fail to meet any of the EV Accelerate At Home Program eligibility requirements or adhere to any of your obligations set forth in this Service Agreement in a manner that would make it unsafe for a monthly Subscription Term – for an additional month commencing at the end of Your current monthly Subscription Term provided that neither You nor UPSIIDE has provided notice of non-renewal at least two (2) days prior you to the end of Your then- current monthly Subscription Termcontinue to participate; or (ii) we are required to terminate the EV Accelerate At Home Program by the Commission, and providing thirty (30) calendar days’ notice would not be practicable. In the event you terminate this Service Agreement or we terminate this Service Agreement, and the effective date of the termination occurs less than 10 years from your Activation Date, unless you take ownership of the Charging Equipment in accordance with Section 10 below, you will be charged a $200 Charging Equipment removal fee on your bill following the termination date. If either you or we terminate this Service Agreement, you will be responsible for an annual Subscription Term – for an additional one (1all applicable charges and fees including the monthly Bundled Program Service Fee described in Section 8, and any Charging Equipment removal fee, if applicable) year period commencing at through the end date of Your current annual Subscription Term provided that neither You nor UPSIIDE has provided notice of non-renewal at least forty-five (45) days prior to termination. In the end of Your then-current annual Subscription Term; and (iii) for multi-year Subscription Term – for the same multi-year period as Your current multi-year Subscription Term commencing at the end of Your current multi-year Subscription Term provided that neither You nor UPSIIDE has provided notice of non-renewal at least forty-five (45) days prior to the end of Your then-current multi-year Subscription Term. This SaaS Schedule will commence event this Service Agreement terminates or expires, on the date of UPSIIDE’s acceptance termination or expiration, unless you take ownership of Your first Order for the Service or Charging Equipment in accordance with Section 10 below, your right to use the effective date of Your Order Form incorporating this SaaS Schedule, whichever occurred earlier, Charging Equipment will automatically expire and shall continue thereafter for as long as You have an active Subscription Term (which period shall constitute you will promptly make the “Term” of this SaaS Schedule)Site available to Xcel Energy and/or our designated third-party to access and remove the Charging Equipment from the Site.
