Common use of Subsidiary Guarantee and Security Agreement Clause in Contracts

Subsidiary Guarantee and Security Agreement. The Subsidiary Guarantee and Security Agreement, duly executed and delivered by each Subsidiary of the Company on the Effective Date (other than Garr▇▇▇, ▇▇y Foreign Subsidiary, Suiza Capital Trust II and any Unrestricted Subsidiary) and the Agent and (to the extent not previously delivered) the certificates representing the capital stock owned by such Subsidiary of each of the indirect Subsidiaries (other than Unrestricted Subsidiaries) of the Company on the Effective Date, accompanied by appropriate undated stock powers executed in blank. In addition, upon request of the Agent, the Company shall have taken such other action (including, without limitation, delivering to the Agent, (i) Uniform Commercial Code searches for each such Subsidiary Guarantor for each jurisdiction in which such Subsidiary Guarantor conducts its business or in which any of its Properties are located (or otherwise as the Agent may reasonably request) and (ii) for filing, appropriately completed and duly executed copies of Uniform Commercial Code financing statements), as the Agent shall have requested in order to perfect the security interests created pursuant to the Subsidiary Guarantee and Security Agreement.
