Common use of Subsidiary Public Offering Clause in Contracts

Subsidiary Public Offering. If, after an IPO in which the Registering Entity is a Subsidiary of the Partnership, the Partnership distributes securities of such Subsidiary to unitholders of the Partnership (including any distributions to direct or indirect unit holders of the Partnership), then the rights and obligations of the Partnership pursuant to this Agreement shall apply, mutatis mutandis, to such Subsidiary, and the Partnership shall cause such Subsidiary to (i) execute a joinder to this Agreement and become a party hereto as the “Partnership” and (ii) comply with such Subsidiary’s obligations under this Agreement.
